The performance gain will be noticable.
But since you are going to buy a new mother board then why not go for something that is like 400Mhz ?

Lol. Ok, well you knew your rams specs, now i have to ask is do you know your bios. Default is 133-200 mhz on bios, could be anywhere between. Unless you know how to change your bios settings for ram, leave it. I really dont see why people trip so much about ram, it is important, but you could have a 300$ set of corsair ram, and still not have it make any noticable difference, Now if your running lets say a 3500+ 64 athalon yes, now then you would need good ram so it wouldnt bottleneck at the ram, but since you have a slow cpu, may i reccommend you look into an SATA Hard drive, or maybe a faster cpu or vid card. Without those core paryts it will be too slow
